By accessing and using 1-ClickTrade ("we," "us," or "our") services, website, mobile applications, and products, including software installations onto your system (collectively, "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and 1-ClickTrade. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of our Services after any modifications indicates your acceptance of the updated Terms.

1-ClickTrade provides a financial technology platform for portfolio management and 1-click trading across multiple brokers. Our Services include, but are not limited to:

• Portfolio tracking and management tools
• 1-click trade execution across supported brokers
• Market analysis and opportunity identification
• Watchlist management
• ETF performance tracking
• Browser extension and desktop applications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice.

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to use our Services. We reserve the right to suspend or terminate accounts that violate these Terms.

IMPORTANT: 1-ClickTrade is not a broker-dealer, investment advisor, or financial advisor.

Our Services provide tools to facilitate trading through your existing brokerage accounts. We do not:

• Provide investment advice or recommendations
• Execute trades on your behalf without your explicit action
• Guarantee any investment returns or outcomes
• Hold or custody your funds or securities

All investment decisions are solely your responsibility. Trading securities involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results.

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We implement reasonable security measures to protect your personal and financial information. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of 1-ClickTrade or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes. You may not:

• Copy, modify, or distribute our content without permission
• Reverse engineer or attempt to extract source code
• Use our Services for any unlawful purpose
• Violate any applicable laws or regulations

To the maximum extent permitted by law, 1-ClickTrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or alteration of your data
• Any trading losses or investment decisions
• Any bugs, viruses, or errors in our Services
• Any interruption or cessation of our Services

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless 1-ClickTrade, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Los Angeles County, California.

You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.
